1. These terms
These terms apply to consultancy services provided by Azkoro and to use of this website. Where a signed engagement letter or statement of work exists, that document takes precedence over these terms to the extent of any conflict.
2. Engagements and quotations
Every engagement begins with a diagnostic session, which is provided at no cost and creates no obligation on either side. Following that session we issue a written scope setting out the deliverable, the fixed fee and the target completion date.
An engagement begins when you confirm the written scope in writing. Quotations remain valid for 30 days.
3. Fees and payment
- Fees are fixed per deliverable and stated in the written scope.
- Invoices are issued on delivery unless the scope states otherwise.
- Payment terms are 14 days from the invoice date.
- Larger engagements may be invoiced in stages, as set out in the scope.
- Fees are exclusive of VAT where VAT applies.
4. Client responsibilities
To deliver effectively we need timely access to the people involved, the information requested, and a decision-maker who can confirm scope. Where access is delayed, target dates move accordingly and we will say so in writing.
5. Deliverables and intellectual property
On final payment, all deliverables produced for you become your property outright, including editable source files. You may reuse, adapt and share them without restriction or attribution.
We retain ownership of our own methods, templates and general know-how, and reserve the right to describe the nature of the work in anonymised form.
6. Confidentiality
Both parties agree to keep confidential any non-public information received from the other in connection with an engagement. This obligation continues after the engagement ends.
We are routinely willing to sign a client-supplied non-disclosure agreement.
7. Changes and cancellation
Either party may end an engagement with 14 days' written notice. Where work has been completed to that point, it is invoiced at the staged rate set out in the scope. Where a scope has not yet started, no fee is payable.
We may decline or withdraw from an engagement where doing so would require expertise we do not have. In that case any fees paid for undelivered work are refunded.
8. Liability
We provide consultancy services with reasonable skill and care. We do not guarantee specific commercial outcomes, because outcomes depend on decisions and execution within your organisation.
Our total liability in connection with an engagement is limited to the fees paid for that engagement. Nothing in these terms limits liability for death or personal injury caused by negligence, or for fraud.
9. Website use
This website is provided for information. While we take care to keep content accurate, it is general in nature and is not advice for a specific situation. Templates and resources are provided free of charge and without warranty; you use them at your own discretion.
10. Governing law
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute.
